Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Puck Labs LLC, a Wyoming limited liability company (“Dapital,” “we,” “us,” or “our”). They govern your use of investing.community, Dapital Community, and our related websites, apps, and services (the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services. Section 13 requires you to resolve disputes by individual binding arbitration and waives class actions and jury trials.
1. Eligibility
You must be at least 18 and able to form a binding contract to use the Services. If you use the Services for an organization, you confirm that you have authority to bind it to these Terms.
2. The Services
We may add, change, suspend, or discontinue any part of the Services, or limit access to them, at any time, with or without notice, and without liability to you. Some features have additional terms, eligibility requirements, or fees. Those terms become part of these Terms when they apply to you.
3. No financial advice; trading risk
Dapital does not provide investment, financial, legal, or tax advice. Content on the Services, including content shared by creators, community members, or us, is for information only. It is not a recommendation or an offer to buy or sell any asset. Examples, figures, and previews on the Services are illustrative.
Trading, including trading perpetual futures and other leveraged products, involves substantial risk. You can lose some or all of your money. You alone are responsible for your decisions and for evaluating any information you rely on. Creator earnings, fee shares, and similar programs are subject to separate terms and eligibility, may change or end at any time, and are not guaranteed.
4. Accounts and communications
You must give accurate information and keep it up to date. You are responsible for all activity under your account and for keeping your credentials secure. You agree that we can communicate with you electronically, and that electronic communications satisfy any requirement that communications be in writing.
5. Your content
You keep ownership of content you submit, post, or share through the Services (“Your Content”). You grant Dapital and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, display, perform, distribute, and create derivative works of Your Content, in any media now known or later developed. This license covers operating, improving, promoting, and marketing the Services. It includes the right to use your name, likeness, handle, and logo in connection with Your Content and the Services.
You confirm that you have all rights needed to grant this license and that Your Content does not violate the law or anyone’s rights. We may remove or restrict any content at any time for any reason. If you send us feedback or suggestions, we may use them for any purpose without obligation to you.
6. Acceptable use
You will not: break the law; infringe or misappropriate anyone’s rights; harass, defraud, or mislead others; manipulate markets or promote schemes; post malicious code; scrape or copy the Services without our written permission; interfere with or disrupt the Services; try to gain unauthorized access; or use the Services to build a competing product.
7. Fees
Some Services may require payment. You agree to pay all applicable fees and taxes. Unless we state otherwise in writing, fees are non-refundable. We may change our fees at any time. Changes apply from the next billing period or transaction.
8. Third-party services
The Services may connect to or include third-party products, platforms, markets, and content, for example calendar, payment, wallet, and trading providers. We do not control them and are not responsible for them. Your use of them is at your own risk and subject to their terms.
9. Our intellectual property
The Services, including software, design, text, graphics, logos, and trademarks, are owned by Dapital or its licensors and are protected by law. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. We reserve all other rights.
10. Termination
We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including Sections 3, 5, and 9 through 14.
11. Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant any content, market data, prices, or results.
12. Limitation of liability
To the fullest extent permitted by law, Dapital and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading losses, however caused. Our total liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid us in the 12 months before the claim and (b) US $100.
You will defend, indemnify, and hold harmless Dapital and its affiliates, officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising from Your Content, your use of the Services, or your breach of these Terms or the law.
13. Arbitration and class action waiver
You and Dapital agree to resolve any dispute relating to these Terms or the Services by final and binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules. Either party may instead bring an individual claim in small claims court. You and Dapital waive any right to a jury trial and to bring or join any class, collective, or representative action. The arbitrator may not consolidate claims or award class-wide relief. If this class waiver is found unenforceable, this entire section is void. The Federal Arbitration Act governs this section.
14. Governing law and venue
Wyoming law governs these Terms, without regard to conflict-of-law rules. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.
15. Changes to these Terms
We may change these Terms at any time. Changes take effect when we post them, and we will update the effective date above. If you continue to use the Services after a change, you accept the updated Terms.
16. General
These Terms and any additional terms we give you are the entire agreement between you and Dapital about the Services. We may assign these Terms without your consent. You may not assign them without our written consent. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control.
